Supplier Terms and Conditions

These Supplier Terms and Conditions (the “Agreement”) govern the relationship between The Roman Guy Inc., d/b/a The Tour Guy, a corporation incorporated in the State of Florida, and any supplier, tour operator, or service provider (“Supplier”) that offers tours, tickets, or related travel services through The Tour Guy platform. 
 
A. The Tour Guy Platform 
The Tour Guy operates an online booking platform through which various service providers offer sightseeing tours, leisure activities, and other travel and entertainment services to end customers (“Guests”), either directly or via affiliated partners. 
 
B. Role of The Tour Guy 
The Tour Guy acts solely as an intermediary and booking agent between the Guest and the Supplier. Unless expressly stated otherwise, The Tour Guy is not a contracting party to the agreement for services concluded between the Guest and the Supplier. 
 
C. Supplier Services 
The Supplier is engaged in the professional provision of tour, ticket, or related travel services and makes such services available to Guests through The Tour Guy platform. 
 
D. Legal Capacity 
By accessing or using The Tour Guy platform, the Supplier represents and warrants that it has the full legal capacity, authority, and right to enter into and be bound by this Agreement. 
 
Accordingly, the parties agree as follows. 

  1. TERM OF AGREEMENT: This Agreement shall remain in effect until terminated by either party with thirty (30) days written notice. The Agreement shall automatically renew on a rolling basis unless terminated in accordance with this clause. Any notice of termination shall be sent in writing via email to partners@thetourguy.com. 
  1. PERMITS & LICENSES: The Supplier expressly states that it has all the permits, licenses, and/or authorizations necessary for carrying out its activity and that these authorizations are in force at the time of signing this agreement, and that it undertakes to maintain them in force during the validity period of this agreement. The Supplier is solely responsible for complying with local employment and labor rules and ensuring that all legal security standards are met. The Supplier is also responsible for the conduct of the guides and its staff with respect to the guest. The Supplier further warrants that it complies with all applicable labor, health, and safety standards, including ensuring that all guides are legally authorized to work and properly licensed according to local regulations. The Supplier further warrants that it has performed all necessary background checks, vetting, and screening required by applicable law on all of its guides and staff who interact with Guests. The Supplier shall maintain a safe environment for both guests and employees in accordance with applicable laws. 
  1. GENERAL LIABILITY INSURANCE: The Supplier must possess and maintain General Liability Insurance that adequately covers the activities offered through The Tour Guy platform. A valid certificate of insurance must be submitted to The Tour Guy as part of the onboarding process and promptly updated upon renewal or material change. 
  1. PROVISION OF INFORMATION: The Supplier must only upload inventory or make available products for which they have confirmed availability, including secured entry tickets or time slots. Products without guaranteed access or valid ticketing arrangements must not be listed or offered for sale on The Tour Guy platform, unless prior authorization has been granted, either verbally or in writing, by The Tour Guy. 
  1. PRODUCTS: The Supplier provides the offered touristic services on its own responsibility and The Tour Guy is promoting the same on The Tour Guy Platform and effectuating sales of the various services as an agent of the Supplier. 
  1. Product offerings and their execution must comply with all applicable laws, regulations, and third-party rights, and must respect public morality. Products containing sexist, racist, extremist, or otherwise offensive content, or products that compromise the physical, mental, or moral integrity of humans or involve harm to animals, or products that facilitate illegal services or coerce guests into purchasing additional services or products, are strictly prohibited. The Tour Guy reserves the right to remove such products at any time without prior notice. Claims for damages or any other claims by The Tour Guy, its guests, or third parties are expressly reserved. 
  1. The Supplier is responsible for ensuring that the product information provided to The Tour Guy is always up to date including (but not limited to) product descriptions, inclusions, exclusions, availability & pricing information. Revised or canceled products that are no longer valid must be amended/deleted as soon as possible. 
  1. Information & content provided to The Tour Guy must be owned by the Supplier and must not violate any intellectual property or third-party rights. Any knowledge of such a violation must be communicated to The Tour Guy immediately. 
  1. All images provided to The Tour Guy must be of ownership of the Supplier or properly licensed so that they can be used on The Tour Guy and related sites. Any fines, lawsuits, or civil suits imposed upon The Tour Guy for photos provided by the Supplier will be passed onto the Supplier. Fines will be deducted from the Suppliers tour sales. If they cannot be paid within 90 days, the Supplier will be invoiced for said fines which must be paid within 90 days thereafter. 
  1. All products uploaded or modified on The Tour Guy Platform will have to undergo an eligibility check upon the positive conclusion of which they will be activated. The Tour Guy reserves the right to deactivate or withdraw any product from its Platform without prior notice or intimation to the Supplier and without assignment of any reason. 
  1. The Supplier shall not use The Tour Guy’s name, logo, or any brand identifiers for promotional or marketing purposes without The Tour Guy’s prior written consent. Any such materials must be reviewed and approved in advance to ensure brand accuracy and compliance. 
  1. VOUCHER: The Guest may present a valid mobile voucher, email voucher, or Apple Wallet pass issued by The Tour Guy as proof of payment. The Supplier must accept all such formats as valid redemption methods. 
  1. API AND SYSTEMS ACCURACY: The Supplier guarantees the accuracy and reliability of pricing and availability transmitted through API connections or automated systems. The Tour Guy shall not be liable for discrepancies caused by Supplier systems. 
  1. QUALITY CONTROL: The Tour Guy reserves the right to suspend or remove any product at its sole discretion in case of quality issues, safety risks, guest complaints, or regulatory concerns. 
  1. PRICES: Product prices as provided to The Tour Guy and uploaded on The Tour Guy platform must include all relevant dues, taxes, fees, and services charges. The guest cannot be asked to pay any further taxes, dues, commissions, or cover other mandatory expenses upon the execution of the service. Only in exceptional cases, and when they are disclosed and approved in advance by The Tour Guy, guests may be asked to pay additional expenses. The Supplier also agrees that the prices offered via The Tour Guy platform will be equal to or better than those made available through Supplier’s or its affiliates’ own online shops. Customers who book a Service through The Tour Guy platform will be treated at least as well as customers that book through Supplier’s or its affiliates’ own online shops. 
  1. THE TOUR GUY’S AFFILIATES: The Tour Guy may promote the Services on its own promotional material and on its own website, mobile application, and other distribution channels. The Tour Guy may also promote the Services of Supplier to various affiliates including travel agents, tour operators, concierge services, and internet sites. All sales shall be initially invoiced on the guests by The Tour Guy as an intermediary of the Supplier and thereafter, Supplier will receive all communications and payment from The Tour Guy. 
  1. SUBCONTRACTING: Performance of the Services may only be subcontracted by the Supplier with The Tour Guy’s prior written consent. In the event the Supplier uses a subcontractor, the Supplier will remain responsible for ensuring the satisfactory delivery of the services and shall be held liable for the subcontractor’s compliance to the terms and conditions of this agreement as well as any violation or noncompliance on the part of the subcontractor. 
  1. CANCELLATION POLICY: All cancellations, on the part of the Supplier or the guest, must be conducted via authorized channels of The Tour Guy. 
  1. Cancellation by the Supplier: In the event that the Supplier cancels confirmed bookings, The Tour Guy will monitor the Supplier’s cancellation rate on a rolling 90-day basis. If the cancellation rate exceeds five percent (5%) during this period, The Tour Guy will issue a written warning notifying the Supplier that their listings have exceeded the five percent (5%) threshold over the past 30 days. This notice serves as an opportunity for the Supplier to take corrective action before any measures are applied. Should the Supplier fail to reduce the cancellation rate or continue to cancel bookings without valid justification, The Tour Guy may, at its discretion, suspend the Supplier’s listings, apply corrective actions, or, in repeated cases, remove the Supplier from the platform. All communications regarding cancellations must be made through the official channel: support@thetourguy.com. 
  1. Cancellation by the Guest: Cancellation by the Guest will be governed by The Tour Guy’s consumer cancellation policy. This policy may be independent of the policy between The Tour Guy and the Supplier. 
  1. REVIEWS: In the event that the Supplier receives customer ratings below 4.5 on a rolling 90-day basis, The Tour Guy will monitor the Supplier’s performance. If the average rating falls below 4.5 during this period, The Tour Guy will issue a written warning notifying the Supplier that their ratings have fallen below the acceptable threshold over the past 30 days. This notice serves as an opportunity for the Supplier to take corrective action before any measures are applied. Should the Supplier fail to improve their ratings or continue to receive low scores without valid justification, The Tour Guy may, at its discretion, suspend the Supplier’s listings, apply corrective actions, or, in repeated cases, remove the Supplier from the platform. All communications regarding ratings must be made through the official channel: support@thetourguy.com. 
  1. RATES: The Tour Guy shall pay the Supplier for services rendered to its Guests in accordance with the Net rates agreed with the Supplier. The Tour Guy will sell at the best available price available in the market at the time of sale. 
  1. Rate Changes by Supplier: The Supplier shall offer The Tour Guy their best consumer price on products distributed through The Tour Guy at the agreed commission rate. For API-connected Suppliers, prices shall update automatically via the API connection, and the Supplier shall ensure that such prices remain accurate and current. For manual Suppliers, any price change shall be communicated in writing via email to partners@thetourguy.com prior to taking effect. Any price changes not communicated in accordance with this requirement shall not be recognized or honored by The Tour Guy. 
  1. Discounts Made by Supplier. The Tour Guy offers the possibility of discounting products intermittently. Discounts agreed to by the supplier in writing will be subject to the same commission percentage on the new sale price. 
  1. Change of Terms. The Tour Guy may modify the Commission, Rates, or Terms, at any time, with the prior communication and consent of the Supplier. Any proposed changes will be communicated in writing or by email to the Supplier in advance. If the Supplier does not agree to the revised terms, either party may terminate this Agreement upon written notice. The Supplier assumes full responsibility for the accuracy of all data transmitted through API connections or other automated systems. The Tour Guy shall not be liable for any pricing discrepancies or booking errors resulting from technical or data-related issues originating from the Supplier’s systems. 
  1. PAYMENT: For Suppliers who are eligible, The Tour Guy will apply an autopayment process, under which payments are issued during the second week of each month for all services rendered in the preceding calendar month. In exceptional circumstances, payments may be processed later, but no later than the end of the same month. These payments will be based on The Tour Guy’s internal CRM records, and invoices are not required unless specifically mandated by local law. Suppliers may review and download a detailed breakdown of payments through the Tipalti portal. In case of any discrepancies, the Supplier must contact partners@thetourguy.com within ninety (90) days from the date of payment, providing relevant supporting documentation. 

For Suppliers who are not eligible for autopayment, the Supplier must submit an invoice by the 15th of each month. The Tour Guy will issue payment by the end of that calendar month for all services completed in the prior month. In case of any discrepancies, the Supplier must contact invoice@thetourguy.com within ninety 

(90) days from the date of payment, providing relevant supporting documentation. 

  1. PAYMENT PROCESSING FEES & CHARGEBACKS: The Tour Guy will cover any fees charged by its bank, credit card company, or payment processor for payments made by guests to The Tour Guy or by The Tour Guy to the Supplier. The Supplier is only responsible for any fees charged by its own bank or payment processor. 
  1. CUSTOMER SERVICE: The Supplier shall provide professional and timely customer service, responding in writing to any customer complaint within 72 hours. If the Supplier fails to respond within this timeframe, The Tour Guy shall have the right to take any necessary action with the customer, including issuing refunds, and the Supplier shall be automatically responsible for reimbursing The Tour Guy for any such costs. Guests will receive the Supplier’s emergency contact on their voucher for urgent issues only (e.g., meeting point clarification, delays). Pre-tour requests to modify, reschedule, or cancel must be redirected to The Tour Guy Customer Service: support@thetourguy.com or +1 888 290 5595. Suppliers should minimize changes to tours. Unavoidable changes more than 48 hours before the tour must be communicated to The Tour Guy at least 48 hours in advance. For emergencies within 48 hours, the Supplier may contact the guest directly if necessary and must immediately notify The Tour Guy via phone, SMS, or WhatsApp. 
  1. SUPPLIER’S LIABILITIES: The Supplier, as the contracting party, is responsible for the correct execution of service to the participating guest and agrees to indemnify, defend, and hold harmless The Tour Guy, its officers, employees, and affiliates against all claims, damages, liabilities, and expenses (including reasonable attorney’s fees) arising out of or related to the Supplier’s actions, omissions, or breaches of this Agreement, including any third-party claims related to the Supplier’s services. The Supplier sets The Tour Guy free of any claims or damages including punitive damages, compensations, or other claims arising from his actions or omissions or those of its employees and agents. In the event of any claims against The Tour Guy on account of the Supplier’s product, the Supplier will assist The Tour Guy in its defense and renders it free of all demands. 
  1. THE TOUR GUY’S LIABILITIES: The Tour Guy is liable to the Supplier under applicable law for personal actions in the case of intent or gross negligence by The Tour Guy. The liability 

for slight negligence is excluded including non-contractual liability. The liability for computer viruses and any damage caused by computer programs is also excluded. The Tour Guy is not a party to the contract between the Supplier and the Guest and does not have an affirmative obligation to act in order to protect others. The Tour Guy is not liable for the conduct of the guest, the Supplier, or any third-party. 

  1. LIMITATION OF LIABILITY: To the maximum extent permitted by law, The Tour Guy’s total aggregate liability arising out of or in connection with this Agreement shall not exceed the total Commission paid to The Tour Guy in the twelve (12) months preceding the claim. In no event shall The Tour Guy be liable for indirect, consequential, special, or loss of profit damages.
